Terms of Service

1. Agreement to Terms

By accessing or using Carionex ("the Platform"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Description of Service

Carionex provides a white-label software platform for domiciliary care agencies, including staff management, scheduling, time tracking, payroll processing, and compliance management tools. The Platform is provided as a Software-as-a-Service (SaaS) solution.

3. User Accounts

To use the Platform, you must:

• Register for an account with accurate information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Platform
• Interfere with or disrupt the Platform's operation
• Upload malicious code or content
• Share account credentials with unauthorised parties
• Use the Platform to process data in violation of data protection laws

5. Subscription and Payment

5.1 Fees: Subscription fees are based on your selected plan and number of active staff members. Prices are as displayed at the time of purchase.

5.2 Billing: Subscriptions are billed monthly or annually in advance. Payment is due upon invoice.

5.3 Changes: We may change pricing with 30 days notice. Continued use after price changes constitutes acceptance.

5.4 Refunds: We offer a 14-day free trial. After that, fees are non-refundable except where required by law.

6. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy. You retain ownership of your data. We process data as a data processor on your behalf for the purpose of providing the Platform services. You are responsible for ensuring you have appropriate consent to process personal data through the Platform.

7. Intellectual Property

The Platform, including all software, designs, and content, is owned by Carionex Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive licence to use the Platform for your business purposes. You may not copy, modify, distribute, or reverse engineer any part of the Platform.

8. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for interruptions beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, Carionex Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Termination

10.1 By You: You may cancel your subscription at any time. Access continues until the end of your paid period.

10.2 By Us: We may suspend or terminate your account for violation of these terms, non-payment, or if required by law.

10.3 Effect: Upon termination, you may export your data for 30 days. After that, data will be deleted in accordance with our retention policy.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use after changes constitutes acceptance.
